€11 million rescue deal

TSV 1860 sell share in stadium to Bayern

FC Bayern Munich have acquired a 100 percent stake in the Allianz Arena after purchasing TSV 1860 Munich's 50 percent share in holding company Allianz Arena Munich Stadium GmbH for €11 million, Bayern board directors Karl-Heinz Rummenigge, Uli Hoeneß and Karl Hopfner, and TSV 1860 Munich directors Dr Stefan Ziffzer and Stefan Reuter told a news conference on Thursday. The transaction means Bayern become sole owners of Allianz Arena Munich Stadium GmbH, and thus of the stadium itself.

The deal was struck in order to rescue financially stricken TSV 1860. "It means we've avoided filing for bankruptcy, although we've been technically insolvent for some time," newly-installed 1860 managing director Dr Ziffzer explained. "It would have been goodbye if Bayern had not acted," the finance expert continued.

Bayern assume construction debts

The stadium holding company will remain a separate corporate entity. Bayern and 1860 will continue to rent the Arena from the holding company, which in turn will continue paying off the construction costs on schedule.

"We're not doing this out of brotherly love or sympathy for TSV, but for reasons of pure self-interest," Bayern chairman Karl-Heinz Rummenigge declared. Sole ownership of the stadium meant shouldering a huge risk, general manager Hoeneß remarked. "The stadium and all the associated debt are now ours alone," he pointed out. The sum involved comes to around €300 million.

Payment in instalments

The binding agreement signed by the clubs on Thursday morning includes an option for TSV 1860 to buy back their share from Bayern at the unchanged price of €11 million plus 6.5 percent interest by 30 June 2010 at the latest. The €11 million, described by Hoeneß as "a cash injection," will be paid out in instalments by the Reds to the Blues over the coming years.

The parties also agreed changes to the policy regarding business seats, to apply until the 2008-9 season. The original agreement required 1860 to pay the holding company a guaranteed €3 million per annum from business seat revenue, regardless of the club's league status. The agreement reached on Thursday reduces the annual sum to €1 million, should 1860 play in the second division, or just €500,000 if the club falls as far as the regional third division. If the "Lions" gain promotion to the Bundesliga, the sum remains at €3 million. Any variation from the originally agreed €3 million would have to be repaid with 6.5 percent interest at the time 1860 repurchased their share in the stadium.

No effect on transfer activity

Bayern finance director Hopfner explained it was "very important to us that 1860 continue to play at the Allianz Arena, and pay the rent." This had been a key motivating factor behind the new deal. "We're not trying to buy honorary membership of their club. If they go out of business, it would be a wound which could end up destroying us," Hoeneß admitted.

The rescue package would have no impact on Bayern's ability to manoeuvre in the transfer market, the general manager insisted. "It will have no effect on any signings for the next three or four years." The €11 million would be financed from existing reserves.

Ziffzer reveals financial plight

The full extent of the financial crisis at TSV 1860 was first revealed to Bayern two weeks ago. Rummenigge explicitly praised Ziffzer for the decision to report the unpalatable facts. "He made a clean breast of it, and told us he could not rule out bankruptcy," the Bayern chief reported. Hopfner and Ziffzer have since been working round-the-clock to realise the rescue plan.

Local media had assumed the Reds would provide the Blues with a loan, but that had not been possible, Hopfner explained. "We're assisting TSV so they can compete, at least in the second division, on a long-term basis," Hoeneß declared, expressing full confidence in the new management team led by Ziffzer and Reuter: "These are two partners with whom we can have a relationship based on trust."
